Possibly - although that would complicate the deal significantly.
It may just be negotiation around the amount of reimbursment, the finance terms for the project, and things like the decision making process for the project.
I'm sure there are other (major) things with a 50/50 JV that will need to be negotiated that i have forgotten to list!
