Frankly I was shocked to read the outcome.

Resolution 1 (Acquisition of shares from Xceed)
Instruction of Proxies:
For: 47,369,490
Against: 2,330,227
Abstain: 7,857,899
Proxy's Discretion: 62,451,588

On a Poll:
For: 51,066,822
Against: 63,974,694
Abstain: 9,968,064

So, clearly the votes that were left to proxy's discretion were weighed in against, presumably by company management, as I assume they would have controlled the proxy votes.

Given that, the real question may be who voted for.
