Mbleaz09 you might be onto something there. I rememebr a situation a few years ago where AMP made a takeover offer for someone and the directors suggested the offer be rejected. I believe the shareholders actually won compensation. Will have to research a bit more.

The directors ger must be carrying around the bit of legal advice which enables them to justify their stance of supporting an offer of sweet FA compared to telling shareholders to reject an earlier higher offer. They must take some heavy medication to enable themselves to sleep at night...
