3.1 is pretty clear.
Basically any event that a reasonable person would expect to move the SP up/down must be disclosed.
Sold 1 Roam-e to Walmart or any other reputable distributor, they have been accepted as a supplier and jumped through the hoops of the purchasing department, negotiated commercial terms etc etc. Therefore disclosure is required.
No disclosure = no price sensitive events have occurred.
