By getting rid of the note holders for cash and scrip it cleans up the balance sheet enormously.
The down side given that the shares were issued at a substantial premium to market it gives an idea how keen the noteholders were to get a saleable share vs a non saleable note.
I would not be expecting the shares issued for notes to remain in the same hands for long!
