CT...correct if I'm wrong here, but there was an announcement due out in March of last year infroming of the final details of the transaction agreement. If this is correct then then the final terms to the tranaction agreement haven't even been announced (unless I've missed them). If the lastest info that Fse investors (of the which I'm looking at getting in on) have is the statement released in Feb of '07 then the terms for 60% aquisition stand at;
- $7.775m in cash
- 250 Mil shares at 5c
- 125 Mil opt's excer. @ 12c anytime within 5 years
- if they want another 10% then another $1.25Mil in cash
- if they want the deal then they gotta cough up $900k cash (which they have)
There is that part about "further exploration agreement" where they have the option of going 51% in "potentional" areas of exploration with the option of going 70% with another $1M to be handed over.
The mention of "geo" talk is found in this area of the released statemnt about the aquisition that if they had a JORC compliant rescourse of >200M tonnes of coal. If they do then they pay extra 10c per tonne of coal or via securities in FSE (at Constantia's discretion).
If I haven't overlooked somthing then the 5c share deal is a factor here, and you did mention in your post that you don't think that the deal will go ahead if the SP doesn't go 5c+ at the end of the month. If the JORC does not lift the SP beyond 5c this deal could be dead??
What are thoughts on this.
