3. Information on Gesaf

3.1 Background information on Gesaf

Gesaf Pty Ltd is a special purpose vehicle incorporated specifically for
investment in Information and Communication Technology in Australia. In its
capacity as trustee, Gesaf represents the interests of local and off-shore
investors.
Gesaf has one local and one non-resident director who manage investments in
primary resources, IT&T and new technologies.
The directors and shareholders of Gesaf are Messrs Muhammed Nasir Jaafar
and Chris Phillips. The directors have a background in investment banking,
technology transfer and operate in Australia and South East Asia.

3.2 Future outlook and intentions of Gesaf

Gesaf has advised the Company that it is generally supportive of the Company's
strategy as briefly outlined in Section 2.7 and, other than as disclosed
elsewhere in this Explanatory Memorandum:

(a) it has no present intention of making any changes to the business of the
Company;

(b) it has no present intention to inject any further capital into the Company,
except in respect of the Second Tranche Notes and Third Tranche Notes
and potentially through the exercise of the Options granted to it under the
Facility;

(c) it has no present intentions regarding the future employment of the
present employees of the Company;

(d) it has no present proposal whereby any property will be transferred
between Gesaf and the Company or any associated entity;

(e) it does not presently intend to enter into any further transactions with the
Company;

(f) it does not presently intend to redeploy the fixed assets of the Company;
and
(g) it does not presently intend to seek to significantly change the financial or
dividend policies of the Company.
