SALE OF RINCON LITHIUM LIMITED TO SENTIENT
The Company has today entered into a sale and purchase agreement with Sentient GP
III, L.P. acting through its general partner Sentient Executive GP III Limited, as general
partner of the Sentient Global Resources Fund, L.P., a Cayman Islands exempted
company.
The agreement provides for a sale of all of the Company’s interest in Rincon Lithium
Limited for a total consideration of US$22,170,000 with a completion date of 30
December 2008. A deposit of US$2,000,000 is to be held by Hall and Wilcox, the
Company’s solicitors in the transaction.
The agreement is conditional upon, among other things, the purchaser being satisfied
(in its absolute discretion) with the results of its due diligence enquiries in relation to the
Company and its affairs.
