    What I wonder is whether the rights issue is a tactic by NTL to ward off potential takeover bids.

    That concept seems to be discussed a lot in articles about rights issues.

    Afterall, the Top 20 shareholder list includes only two substantial shareholders, at least one of which is associated with the Hill family (i.e. Matt Hill the CEO of NTL).
