Assuming they are officially related parties then yes, they were over the 20% which requires them to make a general offer immediately... and they did, so i'm sorry but i dont see the contradiction.
The concept of 'associated/related parties' is complex. In this instance, NZO has stated they are not acting in concert with Zeta. Now you can believe that or not but until that is challenged then there will be no need for NZO to officially lodge their holdings in addition to that of Zeta's. And in all honesty, whether Zeta and NZO are official related parties has little relevance in this case.
Wait for the EGM... and i'd bet my house on Zeta voting in line with NZO.
