Can not speak as an expert in the legalities of voting, from experience as a UK shareholder there is no issue to voting, vast majority of UK shares held in nominee accounts and majority of shareholders will be able to vote via broker. Voted every year and encouraged others to do so - understand and agree with many posts here concerning salary levels and "performance rights" in a period of abject failure of SP.
As for OTC I believe that shareholders are not able to vote but ...
On another point I do not believe company ever said it would reduce salaries rather it would seek to reduce overall bill, they said that probably knowing that Robert Benkovic would be leaving (salary ~$470,000 + performance rights) ... cynical view perhaps
