I think still possible we can see a counter here...while Varian is a good fit, Permira narrowly missed out in last year's sales process - any bidder knows that if they offer >$28.00 they will secure a board recommendation now.

Just looks like a cheap option to own at a discount to the Varian terms here - worst case you walk away with $28.
