    "My understanding is they can't buy at market during takeover period at a price higher than the offer - correct me if wrong. " correct Seals it against the takeovers laws.

    If ZFX were caught buying above the $1.00 offer price, the directors would be "dead"

    ..but yes some type of backroom deal could be arranged but the market has a strange way of finding out about the deals much later.
