    Can't happen immediately (I believe) because there has to be a motion to that effect on the agenda of the meeting. Or the chairman of the meeting would have to approve it - which considering he'd be exercising his discretion to help get himself sacked - he'd be unlikely to do.

    To sack the board there has to be at least 5% (voting shares) that want that to even put that up as a resolution to be voted on. They can (if they've 5%) call a special meeting to do it, but there still has to be some notice given so that others can consider the motion and vote too. Then it has to be carried on the vote.

    Willing to be corrected if I'm wrong. But I believe a no vote at the meeting on the scheme leaves the board in place - to get rid of them would require another meeting, resolutions to the effect of sacking the board being circulated in advance to shareholders and then a vote at an extraordinary meeting.

    There'd need to be alternate directors available to run the company absent the rejected directors.
