Just to be clear on one of your points, "best and final" applies to ALB and the only way $3.50 could happen is for a counteroffer or a bidding war to occur.
ALB are locked into $3 and even if unsuccessful (likely), they are stuck in a penalty box for four months thereafter, unless there is a counteroffer prior to curtain call.
That is, if I understand your point.
