NOTICE TO REMOVE DIRECTORS RECEIVED FROM MERCHANT
1-Page Limited (ASX:1PG) (1-Page or the Company) advises that it has received a letter from The Trust Company (Australia) Limited (ACN 000 000 993) as custodian for Merchant Opportunities Fund (ARSN 111 456 387) (Merchant) giving notice under section 203D of Corporations Act that it intends to move resolutions at a general meeting of 1-Page shareholders to remove the majority of the existing Directors of 1-Page.
Merchant’s letter also indicates that it intends to call, and arrange to hold, a general meeting of 1-Page shareholders under section 249F of the Corporations Act. Merchant suggests that that the purpose of that meeting will be to vote on the removal of all Directors other than Joanna Riley, Tod McGrouther and Michael Shen, and the appointment of Merchant nominees Chris Mews and Mathew Walker as Directors of 1-Page.
At this stage, Merchant has not provided any details regarding its proposed timing for calling a general meeting.
1-Page will assess Merchant’s letter in order to ensure that, and any general meeting called by Merchant, complies with the Company’s constitution and all applicable laws.
1-Page will keep shareholders informed of all material developments.

Board Changes and Withdrawal of Section 203D Notice
1-Page Limited (1-Page) today announces the resignation of Mr Rusty Rueff and Mr Joseph Bosch, along with the appointment of Mr Andrew Chapman as a Non-Executive Director.
Mr Rueff and Mr Bosch resignations are in connection with the reorganisation of the Board.
Mr Chapman was nominated by the custodian for the Merchant Opportunities Fund (Merchant), which has an interest in 9.52% of 1-Page, and joins the Board as a Non-Executive Director. Mr. Chapman founded the Merchant Group in December 2011.
Concurrent with this appointment, Merchant has provided 1-Page with written notice that it has withdrawn the notice dated 14 December 2016 issued by Merchant in accordance with section 203D of the Corporations Act 2001 (Cth).
