Previous and current Directors need to be aware that Fraud means obtaining money, benefits or other advantages by deceitful or other dishonest means.

OH needs to be educated in the fact that Ethics is about the way things should be. When we think and act ethically, we consider whether the means are right, good and worthwhile; and whether the end or aim is also right, good and worthwhile. Both deserve equal consideration.

Directors and previous Directors like OH should not be misled by well-worn excuses like "the end justifies the means" - outcomes, of themselves, do not justify the processes used (or abused) to achieve them. "Can do" and "should do" are not always the same.

People like him need to be educated in the fact that Ethical dilemmas arise when different values come into conflict, and they must make a choice based on the relative importance of the values involved.

A Director or someone that was a Director should act with integrity when they form consistent and justifiable decisions that "fit" with a companies and shareholders values and principles or in fact a Directors principles,if they have any? In this case I think not.

Ethics can be defined as a set of principles by which his actions may be judged good or bad, right or wrong.

His behaviour should display:
integrity
trust
fairness
accountability

Conflicts of Interest appear to have occurred in OH's case??? This situation can be perceived as an actual conflict between OH's previous and current interests and his public duties and responsibilities as a previous Director of OZL.

A current Director or previous Director should not have any entitlement to take advantage of either their current or previous position to obtain a benefit for themselves, their relatives, friends or others. That means he should not be allowed any interest in owning any of OZL's assets under the disguise of another company.

How could any shareholder having been exposed to this mans unethical behaviour have any confidence in him overseeing their investments and interests under the disguise of another company?
