Private equity won't "overpay", no, but they may tweak the model of CRH. From what I have read, accountants are fiercely independent, so a public listing doesn't always bring out the best. The thoughts on CRH are that any suitor might continue to do what has been done recently- have Principals buy out a share of the business in their area, and the money can go back into the business/pay off debt, whatever. I guess this would "unlock value", and it keeps Principal retention.
