The Directors are doing this as part of their 'shady dealings' - going to the effort of calling EGMs to vote on the disposal of an asset when there is no Purchaser.
There is transactional risk that the deal will not complete, but there is a no risk that there is no intention to purchase the assets referred to in the AZZ announcement (warranted by the nature of Director's obligations in relation to avoiding misleading or deceptive statements imposed by ASX/ASIC).
