It would be interesting to see what happens if a big s/h sells in the market at say 30c (because they relied upon the Directors recommenation) then LLC comes back with a better offer, or the Experts report comes in with a higher figure. Depending upon what reasons the directors come up with for selling, that s/h may be able to mount a case that, had they known of the info that the directors are witholding, then they might not have sold.
