It would seem that they paid $4.50 per share off market (rather than around $1 or whatever it was on market at the time) in order to gain access to the IP. Perhaps the question should be why did Bondy want the deal structured in this way? Why didn't he just say you can have access to the IP for a licence fee of $120m?
Was he trying to give the SP a boost by implying a worth of $4.50? Did he want to be able to use the line about implied market cap (which no one believed)? Who knows, but clearly he wanted the deal struck this way for some reason...if only we were privy to why!
