Why do we need to be spoon fed everything. In every single business decision in your life, regarding shares or otherwise, there is risk. We can't all know what it will be, even directors won't always fully understand, thus, you do your research and come to a conclusion based on the information at hand.
Since you mention "independent report", i assume you refer to the report titled "independent expert report" released to the market on the 30th October 2012 and not any "other report" which was not titled "independent".
I refer to Page 19, Section 2.6 of that report. Risks identified are:
Dilution, discourage potential bidders, significant influence, reduced prospect of full offer, lower liquidity, index exclusion, disagree with directors and disagree with Shandong's intentions.
