I'm not saying i don't care... I've been saying it's a shitty deal since it was announced.
From memory there's a change of control/novation clause. But that doesn't help shareholders if the company now wants to take Zan further down the development path. There's also delay provisions but those are capped. Assume this means RAC can only be 'so late' before it's considered a material breach.
The full agreement has never been disclosed. I'm sure it notes both parties must 'act reasonably'. But, you're right, it's a risk.
