Only under a scheme of arrangement is it 75% by value and 50% by number - this is an all or nothing outcome for the bidder.
Off-market takeovers might have minimum acceptance conditions, but once they get to 90% they move to compulsory acquisition, regardless what the remaining 10% of holders want. This is not an all or nothing outcome for the bidder (i.e they could end up with 85%).
On-market takeovers have no voting thresholds.
