I remember it differently. DR commented that things depended upon how the tax office would treat it and he was waiting on that answer.
My guess is if there are no tax implications for holders then it will go the in specie route... since that is the least controversial option.
fwiw... In specie would be my preference. I think CAI's cash flow problem will go away in time, whether due to the HAO JV or a slow and steady grind.
