You've got a point.

But my recollection was that at the time of the CDU SPP, the market price fell to the placement price $2.50, and even into the 2.40s if my recollection is correct.

In other words, there was plenty of opportunity for holders to buy on the open market at the placement price (or even lower) and they would easily have avoided being diluted (assuming they didn't try to buy a million or so!)
