to qualify as a Sophisticated Investor (or professional investor) you need Net Assets >2.5 Million or gross income > $250,000 for the last 2 financial years.
You then need to get this signed off by your accountant.
Then you need to take this to your broker with whom you have a good relationship. Your broker will then from time to time get access to placements like these and you will benefit from them.
