If I understand your question correctly .. I think the answer is that the placement (SPP?) wouldn't ever get "full".
If you're an elegible shareholder you can apply as per the SPP document as long as it's in by 5:00pm on 11 November. There's no allocation before then - it's not a matter of first in first served.
If the SPP is over subscribed then VMS will decide whether they want the $2 million they mentioned or whether they accept more. If you get less shares than you apply for VMS send you some $ back.
