Given the TO price is $3.50, why is it only trading about...

    Given the TO price is $3.50, why is it only trading about $3.42/4 ish. I suspect there could be another bidder, but even if not, with the proposed $0.15 FF dividend why is it not trading at close to the bid price? What am I missing?
