"Under the Share Sale Agreements, the Company will acquire all the issued shares and options in Honoratus in consideration for the issue of a total of 300,000,000 fully paid ordinary shares and 300,000,000 options in the Company to the Vendors (“Consideration Securities”). The Company has also agreed to pay Honoratus $500,000 for costs incurred in pursuing the transaction with Transeuro under the HOA on settlement of the Share Sale Agreements."
