The vote only requires 50% yes.
Cohen does not hold anywhere near that figure (including the rights under OCP 20%). For Gary to have first rights to acquire OCP 20% share he would have to front up with a lot of cash.
Given he has blown a lot on ISF, i doubt he would have the resources unless he can get a provate equity mob on board to provide a takeover in conjunction with his rights to acquire OCP.
