What I know is you don't (and your cohorts) didn't even know of the existence of the Shareholder Agreement nor do you understand its significance. You make all kinds of speculation about what SYA can and can't do and you are wrong.

When JB confirms that Shareholder Agreement for you and structurally what it means for the JV then you will begin to understand - maybe.

We'll see whether you have any integrity, if on your next visit you:
1. Apologise to me and acknowledge that the SA exists and what it does
2. Acknowledge that your "pontificating" and speculation (along with the Fab 5) which has been shown to be poorly researched on many an occasion.



Not 100% exactly what I said "cease or stop JV" as that is your wording/conclusion - I referred to a minimum % required to pass special resolution and gave an example of downstream - but you'll begin to understand what it means and you will learn for the first time since, as you've stated

"I have never in 20 years saw a shareholder agreement that gives a disproportionate privilege to a minority shareholder. Never- not ever. If a vote is unanimous as you point out surely this will be in accordance with the shareholders voting outcome"

Maybe be less condescending and learn from the experience of others if your own experience has gaps (now filled). I've said it before and I'll say it once more - it is the Shareholder Agreement that protects the Minority Rights of PLL and prevents the 75% majority equity owner from simply voting their 75% to force an outcome on the 25% minority equity owner. First time for everything I guess, even in year 21.
