Yes WTT - I know what you meant, but I didn't what to be held to our visitor's nomenclature ("As I have said I have never ever say a minority shareholder vetoing strategic decisions over majority shareholders"), see as he's all hung up that you have to SEE THE ACTUAL AGREEMENT.
I'm not discussing lingusitic semantics ... albeit a veto is in of itself a special right regardless of % holding. And in this 2 party JV, it means it both can veto if the required special resolution majority is above 75% (and I am saying it is because I asked for clarification). I'm also not having any of the "disproportionate entitlement" being thrown up. Can't say I've seen that term used in business though.
I had enough of discussing this aspect of the JV.
