It seems LG gets the shares at the 10 day VWAP which is a discount, get the sc6 at a discount because of the size of the deal and get products that satisfy IRA standards. For the next 4 years or until they cease to become a substantial holder they have to vote with the board. They also get priority negotiation rights for 10 ktpa of LiOH when TLP comes online.
Does sound like a good deal for them. Also secures good income for Piedmont.
