You have already been given a few reasons but considering the majority of mergers / acquisitions fail, it is a risky business decision to start with.
But to add the above from other posters, another specific reason is often there are staff departures. Also, the company is not cash flow positive yet.
There are plenty of ASX companies with exciting future prospects, you could be asking why all those companies also aren't getting takeover offers. They simply are not that common.
