Do you think the management is as greedy as they are dumb ?
If the answer is YES, then isn't there the possibility of them doing a backflip on the deal and vote it down in the shareholder meeting.
The break fee is chicken feed compared to what more they can squeeze BHP (who is calling UMC bluff about a final offer).
THERE IS NO SUCH THING AS FINAL OFFER.
