It ticks all the takeover boxes:

The company has good assets in its portfolio spread across the country
Revenue streams are decent (pretty much guaranteed).
Revenue growth was stable in the last FY
Fully franked dividend yield of 4.6% from Medial business (Wow!! ... SHL is just 3.8% with 55% franking)
Barriers to entry for competitors of this scale are high in retail Medical business
The co-payment news has been largely discounted by the market and will only be a positive upside if this budget clause fails to go through the senate
Holding by funds and corporates is quite large in PRY. These guys are always eager to cash out to a top bidder.
There are not many other companies out there with such a good business model and decent valuations.
Most bad news seems to have been factored in today's valuations
The market and existing board might welcome fresh blood infusion and new ideas on the Board of PRY
At $2.3bn market cap this is one of the cheapest valuation in its league
