Can't comment about the present Potash bid...
But agree many takeovers are wasteful, costly empire building by CEO's who want to leave a legacy in corporate history.
But not all... Western Mining was a positive and cheap acquisition. Billiton was a positive too, despite all the shareholder hostility at the time.
