    Also refer to Corporations Act (2001, Cth) - section 710 and 729. It reads to me as though each director (at the time the offer was made) may be personally liable if there was found to be a misstatement. Of course ASH can also be held liable.

    Does ASH have to pay up if the directors are personally liable, or is that covered by insurance?

    I'm not a lawyer. Any lawyers on here with appropriate insight are welcome to comment.
