re: sophisticated ??? The term "sophisticated investor" has a legal definition under the Corps Law. It is:
The Investor has:
(i) Net assets of at least $2,500,000; or
(ii) A gross income for each of the last 2 financial years of at least $250,000 a year.
Companies can make placements without the issuance of a prospectus to sophisticated investors....in other words, they're a ready surce of cash to public companies.
