The premiums are standard, if you look at data on the matter. You can always say look at gbg's SP 1 year ago and that was 50 cents, and then look at it now, so is it a good deal for SDL???... The deal looks good, wait for more details and see of the numbers make sense, if you think the deal will be value destroying then sell out
