    No need to be like that. I think you've missed this:

    The company will acquire a 33% working interest by the payment of US$5 million plus the issue of US$5 million by way of shares at $0.005 cents per share.

    So they've accounted through the private placement and SPP for the US$5mill payment but there is also to be a US$5mill share issue at .5c. That's 1bill shares.
