if they sell 51% of Stella for $1.2 billion....then the value in the "market place" for Stella would be $2.4 billion.

All companies have debt......when is the last time you heard of a takeover, whereby the suitor said yes, we will pay 10% above you current share price to takeover your company....but LESS YOUR DEBT.....no dose'nt work like that.

This is such basic stuff....
