Hi Red . Managments responsibility is to report immediately anything that could have either a positive or for that mater a negative effect on the companies SP . Insider trading works both ways. If a large deal / merger / partnership or anything that could knowingly have a positive impact on the company’s SP is taking place management can’t aquire shares while the market is uniformed . The same can be said when a company is at the verge of insolvency and management do not disclose this to the market while they offload large amounts of their own shares . That would also be classified as insider trading. I have not read the document your referring to but there are many ways investors get around insider trading rules , I don’t profess to be any expert on this I would leave it up to solicitors
