You won't see the proportional takeover in he Annual Report because it hasn't happened yet (and may not happen). These clauses are more a protection for minority shareholders if for example a major shareholder that owns 30% of the Company can just approach another major shareholder that owns say 21% to buy their share and get effective control of the company (proportional takeover) rather than making an offer to all other shareholders (70%). This way that first major shareholder doesn't have to pay control premium for 70% of shares, instead paying it for 21 % shares only and if it needs more shares (say another 25% to get their holding to 76%) then buying the rest at the market price, without control premium. The clauses in question require the company to get a simple majority shareholders approval before allowing proportional takeover to proceed.
