You will no doubt note that there is NO PROVISION for any NO vote comments.
The only manner of getting NO vote comments before the shareholders is by the limited method of Hot Copper and or by way of a s249D Notice containing the reasons for the NO vote.
It appears you are only going to be supplied with a one sided presentation.
The Deed specifically denies the BOD of from making any public comment without being approved by each party in writing (acting reasonably)
10.3 Further public announcements
Subject to clause 10.4, any further public announcements by Central or BidCo in relation to, or in connection with, the Proposed Transaction or any other
transaction the subject of this deed or the Scheme may only be made in a form
approved by each party in writing (acting reasonably) subject to where a party is required by law or the Listing Rules to make any announcement or to make any disclosure in relation to, or in connection with, the Proposed Transaction or any other transaction the subject of this deed or the Scheme.
10.4 Required announcement
Where a party is required by applicable law, the Listing Rules or any other
applicable financial market regulation to make any announcement or to make
any disclosure in connection with the Proposed Transaction or any other
transaction the subject of this deed or the Scheme, it may do so but must use
reasonable endeavours, to the extent practicable and lawful, to consult with the
other party before making the relevant disclosure and must give the other party
as much notice as reasonably practical.
