That is wrong .....all done on the percentage of votes made....the resolutions put forward need over 50% to be passed....In the case of the company you mentioned I suspect that the proxys were of such an insignificant number that unless the vote at the meeting was very close they would not have made a difference......
Most shareholders do not send proxys in.... For example at the last agm (aside from Bob cook voting with proxy to make the number of "for" votes exceed "against" votes) only around 740,000 votes by proxy were received....yet I expect 15-20mil shares were voted at the meeting.......
Although the number of proxys for the up coming meeting will be massive by normal standards due to the discontent here at HC...add to that the fact ELK are spending thousands to ring all voters and encourage them to send votes in.....
I expect quite a number of shareholders at the meeting will vote against propositions.......I suspect they may need to count individual votes to come up with a final count for resolutions 1+2 and include proxys......3456 may not need to be counted if healy votes "FOR" ........
