    In a way I hope it's not like you describe it, although that does seem to be the concensus.

    IMHO, If SPV has all the assets and all the money then, apart from that fact the CVI is deemed manager, this sounds a lot like the Simba / Zebra relationship, especially if the SPV is a private entity.
