The new corporate structure looks like a way to move expenses out of Buddy Platform, so that Buddy Platform can get to break even. The debt should have been worked out before the acquisition. The Ohm business is very small and should not need its own CEO, maybe an operations manager.
For A$400,000 per year, he needs to be doing more than arranging some debt.
