The deal was 100% underwtitten so there was no risk of the necessary capital not being raised...
The underwriting was done at a 15% discount to fund an accretive acquisition , so the brokers were not really taking any risk at all... and they got paid 0.48% management fee and 1.9% underwriting fee... that means total fees of $7.2m to the friendly bankers. Not bad for a what is pretty much a zero that did not take any risk at all...
